1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Cazimir Corp (“Cazimir,” “we,” “us,” or “our”), concerning your access to and use of the cazimir.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing the Site, you agree that you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these Terms of Use, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and our AI underwriting platform are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

3. AI Learning and Ownership

The Cazimir platform is a learning system that improves through use. As between Cazimir and its clients:

  • Clients own the documents they upload and the structured data the platform extracts for them, and may export that data at any time.
  • Cazimir owns the platform, its software, its machine learning models, and all improvements to them — including improvements derived from the permitted processing of client data and client corrections. These improvements survive the end of any client relationship.
  • Client-specific configurations and client-identifiable learning are used solely for that client and are never deployed for any other client.
  • Any use of client data to improve the platform for other clients occurs only on a de-identified, aggregated basis, with personal data, client-identifying information, and client underwriting judgment removed, as described in our Privacy Policy and Security & Data Practices page.
  • The specific terms governing each client’s data and platform use are set out in that client’s Master Service Agreement, which prevails over this summary in the event of any conflict.

4. User Representations

By using the Site, you represent and warrant that:

  • You have the legal capacity and you agree to comply with these Terms of Use.
  • You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise, without our express permission.
  • You will not use the Site for any illegal or unauthorized purpose.
  • Your use of the Site will not violate any applicable law or regulation.

5. Client Services and Separate Agreements

Access to and use of the Cazimir AI underwriting platform and related enterprise services are governed by separate Master Service Agreements (MSAs) or commercial contracts executed between Cazimir Corp and its clients. In the event of any conflict between these Terms of Use and a fully executed MSA, the terms of the MSA shall prevail regarding the use of the platform.

6. Disclaimer

The Site is provided on an as-is and as-available basis. You agree that your use of the Site and our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Site and your use thereof. We make no warranties or representations about the accuracy or completeness of the Site’s content or the content of any websites linked to the Site.

7. Limitations of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site.

8. Governing Law

These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware, without regard to its conflict of law principles.
